Website terms
What you agree to when you order a website from Nuvapage. Plain English, no small print. The written quote we send you sits on top of these terms.
Key terms: please read these first
We want you to know the important parts before you agree, so here they are in plain words. Each one is explained in full below, and your attention is particularly drawn to them.
- The deposit (50%) isn’t refunded once we’ve started work: it pays for the planning, design and preview (4.3). The one exception (Starter and Business): if we don’t send your preview within 21 days of receiving everything we asked for, you can have the deposit back in full (4.3). For Signature, the preview date is written in your Quote.
- Two rounds of changes are included. A round is one list of changes sent together (3.2). More are quoted first.
- If the project goes quiet for 60 days, or the balance is unpaid 30 days after it’s due, we may close it, and the deposit is kept (4.4).
- Our total liability is limited to what you paid us in the 12 months before the problem happened, and we’re not liable for lost profit, lost bookings or other indirect losses (9).
- You’re responsible for the facts and material you give us (prices, hours, photos, logos), and you cover our costs if someone claims against us because of them (2.3, 9.6).
- Monthly plans continue each month until either of us ends them with 30 days’ notice (6.3).
- Your domain is always in your name, and once everything is paid you can take your site files whenever you want (5, 6.8).
1. Who we are, and how you agree
1.1 These terms are between Yuliyan Ombashiev, trading as Nuvapage (“we”, “us”), of Suite RA01, 195-197 Wood Street, London, E17 3NU, hello@nuvapage.co.uk, and the business that orders a website (“you”).
1.2 These terms apply together with the written quote we send you (the Quote). If the Quote and these terms disagree, the Quote wins.
1.3 How you agree. You agree to these terms (the version dated on this page) when you tick the box to accept them before paying, accept the Quote in writing, or pay the deposit, whichever happens first. We keep a record of the date and the version you agreed to.
1.4 You’re ordering for your business. By agreeing, you confirm you’re ordering as a business (including as a sole trader), not as a private individual. If you are in fact a consumer, section 10 applies to you.
2. What we build
2.1 We design and build the website described in the Quote: the package (Starter, Business or Signature), the pages and features listed, and anything else the Quote names (the Work). Anything not in the Quote is extra and we will quote for it first.
2.2 You provide your business details, text facts (services, prices, opening hours), your logo, and photos or video of your premises and work. Phone photos are fine. If you’d like, we can film your premises on a phone and improve the best shots with AI. AI may improve light, colour and sharpness, tidy up clutter, and make new camera angles. It only ever shows what is really in your premises. It never adds decor, food or work that isn’t yours, and never makes your premises look bigger or fancier than they are. You approve every picture before it goes live.
2.3 You confirm that you own, or have permission to use, everything you give us (text, logos, photos, reviews links), and that the facts you give us (prices, opening hours, qualifications, offers, allergen and health information) are true. You are responsible for those facts being correct and kept up to date, and for your business meeting the rules that apply to it (licences, pricing, health and safety, and so on).
2.4 Where every picture and font comes from. We only use photos and video you give us, pictures we make for you (marked as AI in our records, see 2.2), or pictures from sources whose licence allows it, and we keep a record of where each one came from. Fonts are free-licence fonts stored on your own site. We never copy pictures from Google or other websites. If you supply material that turns out to belong to someone else, you’re responsible for any claim about it (see 9.6).
2.5 Timing. For Starter and Business we aim to finish about 14 days after we have everything in 2.2 (Signature: the timing is in your Quote). That’s an estimate, not a deadline, and missing it doesn’t give either of us the right to end the project. If materials, feedback or approval arrive late, the finish date moves by at least the same time.
2.6 Content we can refuse. We won’t publish anything illegal, misleading, offensive or hateful, or anything you don’t have the rights to. We’ll tell you if we think something is a problem.
2.7 AI tools. We use AI tools (currently Anthropic’s Claude and Google’s Gemini) to help design and check your site and, if you want, to improve your photos. The text and pictures you give us may be sent to those tools for that. A person (Yuliyan) checks everything before it goes on your site.
2.8 Accessibility. We build every site to be usable with a keyboard and screen readers and with readable colours, and we test it with automatic accessibility checks before launch. No test can promise a site meets every legal standard for every visitor, and text or pictures added after launch (by you, or by us on your instructions) need the same care: for example, describe each new photo in its alt text.
2.9 No promises about results. We build the site to load fast and be easy to find, and we check it with Google Lighthouse before launch. But nobody controls Google: we can’t promise a ranking, a number of visitors, enquiries or new customers.
2.10 Other companies’ services. Your site may use services run by other companies (for example Cloudflare, Google Maps, Stripe, a booking app or your domain registrar). Their own terms apply to them. We’re not responsible if they change, raise prices, go down or stop, though we’ll help you work around it.
3. Preview, changes and approval
3.1 We send you a private preview link. You can leave comments on any part of it.
3.2 Every change request and its price (if any) is agreed in writing before we do it. The price includes two rounds of changes within what the Quote describes. A round is one list of changes sent together (by the comments on the preview, email or WhatsApp). More rounds, or changes outside the Quote, are extra and quoted first.
3.3 When you’re happy, you approve the preview in writing (email, WhatsApp or text is fine). Approval means you’ve checked the content and facts on the site, including the legal pages (see 7). If you don’t reply to a finished preview within 14 days of us asking for approval, and you haven’t asked for changes, we may treat the preview as approved after reminding you in writing.
4. Price and payment
4.1 The price is the one in the Quote. We are not VAT registered, so no VAT is added. (If that changes, VAT would be shown on the Quote.)
4.2 50% deposit before we start. 50% balance when you approve the preview. The deposit and the balance are due 7 days after we send them. Other invoices are due 14 days after we send them. You pay through the secure payment link on the invoice (card, or from your bank, through Stripe).
4.3 The deposit and refunds. The work starts as soon as the deposit is paid, and we set aside time for your project from then, so:
- The deposit pays for the first stage of the work (planning, design and building the preview, and the time we reserve for you). Once we’ve started, it isn’t refunded if you change your mind, stop the project, or don’t pay the balance.
- Our preview promise (Starter and Business). If we don’t send you the working preview within 21 days of receiving everything we asked for (your photos, details and answers), you can ask for the deposit back in full, and we’ll refund it within 14 days of your request. Days we spend waiting for your materials, answers or feedback don’t count towards the 21 days. If you ask for the refund, the project ends and nothing we made is yours to use. For Signature, the preview date is agreed and written in your Quote, because a bespoke design takes longer; the same deposit-back rule applies if we miss that date.
- Once you’ve approved the preview and paid in full, the price isn’t refunded. Approval is your final sign-off. Changes after that are new work and quoted first.
- This doesn’t take away your right to have the Work done as agreed: if something we built doesn’t match the Quote or doesn’t work, tell us and we’ll fix it at no cost (see 9.3).
4.4 If the project goes quiet or the balance isn’t paid. If we’re waiting for your materials, feedback or approval for more than 60 days, or the balance is unpaid 30 days after it’s due, we may close the project after warning you in writing. The deposit is kept as payment for the work done. The site stays unpublished (or behind the “Opening soon” page) and we don’t hand over the files until everything is paid. Restarting later is quoted again.
4.5 Payment lock. We may put your site live before the balance is paid. If we do, visitors see an “Opening soon” page until it’s paid in full. Then we send you a one-time code that unlocks it for good. Your own domain is connected once everything is paid.
4.6 Late payment. If an invoice is late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998: interest at 8% a year above the Bank of England base rate, plus a fixed sum of £40 (debts under £1,000), £70 (£1,000 to £9,999.99) or £100 (£10,000 or more). If a monthly plan is more than 30 days overdue, we may pause it after warning you in writing.
4.7 You pay invoices in full, without taking anything off for a claim or dispute you have with us (raise it with us instead, see 12.6).
5. Domain
5.1 Your domain (web address) is registered in your name, in your own account, and you pay the registrar directly. We help you set it up. You never need to give us your password.
5.2 If, at your request, we buy the domain for you, we invoice the cost and move it into your own account before we hand the site over. We never keep a client’s domain.
6. After launch: monthly plans (optional)
6.1 You choose one of these, or none. Prices are in the Quote and on our website (“from” prices).
| Plan | What’s included |
|---|---|
| Hosting (included for the first 12 months after launch, then from £15/month or £150/year) | We keep the site online on our hosting, with the padlock (HTTPS) and the contact form working. No changes or checks. |
| Care plan (from £35/month) | Hosting, plus small changes (up to 30 minutes a month; unused time doesn’t roll over) and regular checks that the site is up. |
6.2 Third-party costs. Your domain, and anything else outside our plans that you ask for (for example a paid booking app, extra email inboxes or paid photos), are paid by you on top, to whoever provides them.
6.3 Monthly plans run month to month (or year to year if paid yearly) until either of us ends them with 30 days’ written notice. Yearly plans paid up front are not refunded part-way, unless we end the plan ourselves. We may change a plan’s price with 30 days’ written notice; if you don’t agree, you can end the plan before the new price starts.
6.4 If you have no plan, or a plan ends:
- we give you the site’s files (the last version that went live), and you can host them anywhere;
- the contact form switches to an email or WhatsApp button, because the form uses our email service.
6.5 Backups and hacking. We keep a copy of every version that goes live (the last 10), so we can put an earlier version back. We take reasonable security care (see Schedule 1), but no website can be guaranteed against attack. If your site is attacked while it’s on our hosting, we’ll restore the last good version as soon as we reasonably can. Keep your own copy of anything important you add (for example your price list).
6.6 Yearly plans get a reminder at least 30 days before they renew. No plan renews at a higher price without the notice in 6.3.
6.7 We rely on outside providers (currently Cloudflare for hosting and data, plus an email service). We take reasonable care, but we can’t promise the site will always be up or never have errors.
6.8 We never lock you in. The domain is yours (5). Once everything is paid, you can ask for your site’s files at any time and we’ll send them within 14 days, free, whether or not you keep a plan with us. We’ll never take a paid-for site offline to pressure you.
6.9 Replies. On the care plan we aim to reply to messages within 2 working days, and to “site is down” messages the same working day where we can.
7. Legal pages on your site
We add privacy, terms and (if you sell) sales and refunds pages, based on UK templates and the facts you give us. They are not legal advice. You check them when you approve the preview, and you’re responsible for them being right for your business. If you’re unsure, the ICO’s free privacy notice generator and free small-business legal clinics can help.
8. Who owns what
8.1 Your content (text, photos, logo, data) stays yours. You let us use it to build, run and show your site.
8.2 Once everything for the Work is paid, you may use the finished website for your business, for as long as you like, including on other hosting. Until then, the design and code stay ours.
8.3 We keep ownership of our own tools, templates, code and know-how, and may reuse them for other clients. That’s general building blocks, never your content or brand.
8.4 We may show your site in our portfolio and on our website unless you ask us not to.
8.5 Your site’s footer has a small “Site by Nuvapage” link. Ask and we’ll remove it, at no charge.
9. Liability
9.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn’t allow to be limited or excluded.
9.2 What we’re not liable for. We’re not liable for: loss of profit, revenue, sales, bookings or business; loss of goodwill or reputation; wasted spending; loss or corruption of data you could have kept a copy of; or any indirect or consequential loss. Nor for problems caused by facts or material you gave us, by changes made by you or anyone other than us, or by other companies’ services (2.10, 6.7).
9.3 How we put things right. If something we built doesn’t match the Quote or doesn’t work, tell us in writing within 30 days of noticing. We’ll fix or redo it at no cost. If we can’t, we’ll refund the part of the price paid for the part that doesn’t work.
9.4 The most we’ll pay. Otherwise, our total liability to you, for all claims together, whether in contract, negligence or otherwise, is limited to the total you paid us in the 12 months before the event that caused the claim.
9.5 Why these limits. Our prices are low and fixed because of these limits. A business wanting more cover can ask us for a quote with higher limits and a higher price before agreeing.
9.6 Claims about what you supplied. If someone makes a claim against us because of material or facts you gave us (for example a photo you didn’t have the rights to, a wrong price or claim on your site, or how you run your bookings), you’ll cover our reasonable costs of that claim. We’ll tell you promptly and let you deal with it if you want to.
9.7 Things outside our control. We’re not responsible for delays or failures caused by events we can’t reasonably control (for example a Cloudflare or internet outage, a cyber attack on a provider, illness, or extreme events). We’ll tell you and get going again as soon as we can.
9.8 Any claim must be made within 12 months of when you knew, or should have known, about the problem, unless the law gives you longer.
10. If you’re a consumer
10.1 Our clients are normally businesses. If you’re ordering as a private individual (a consumer), you have the consumer rights the law gives you, and these terms don’t take them away. Sections 4.3, 4.4 and 9 apply to you only as far as the law allows.
10.2 Your right to cancel. You can cancel within 14 days of the day you accept the Quote, without giving a reason. To cancel, tell us clearly by email (hello@nuvapage.co.uk) or post; you can use the form in Schedule 2, but you don’t have to. We’ll refund what you paid within 14 days of hearing from you, less any amount in 10.3.
10.3 If you want us to start within the 14 days, you have to ask us to in writing (for example by ticking the box before paying). If you then cancel, you pay for the work done up to the time you told us, in proportion to the whole Work.
11. Ending the project early
Either of us can end the project in writing if the other seriously breaks these terms and doesn’t put it right within 14 days. If you end it, or it closes under 4.4, the deposit is kept as payment for the work done (see 4.3); if more work was done than the deposit covers, we may invoice for it. If we end it without good reason, we refund any part of the deposit not yet earned. Sections 4, 5, 6.8, 8, 9, 12 and Schedule 1 keep applying after the project ends.
12. General
12.1 Whole agreement. These terms and the Quote are the whole agreement. You confirm you haven’t relied on anything said or written that isn’t in them (this doesn’t affect liability for fraud). Changes must be in writing.
12.2 Confidentiality. We each keep the other’s private business information (prices, plans, customer details) confidential, during the project and after it ends.
12.3 Notices under these terms are sent by email to the addresses we normally use with each other.
12.4 Changes to these terms. New versions apply to new Quotes. For monthly plans already running, we give 30 days’ written notice of any change; you can end the plan before it starts.
12.5 Help from others. We may use trusted helpers or subcontractors for parts of the Work; we stay responsible for their work. You can’t pass this agreement to someone else without our written agreement.
12.6 Complaints. If you’re unhappy, email us and say what’s wrong. We’ll reply within 5 working days with what we’ll do about it. Please give us the chance to put it right before going elsewhere.
12.7 If one part doesn’t hold. If a court decides any part of these terms can’t be enforced, the rest still applies, and that part applies as far as the law allows.
12.8 Not giving up rights. If we don’t enforce a right straight away (for example we wait before chasing a late payment), we haven’t given it up.
12.9 Only us. Only you and we have rights under these terms; nobody else does.
12.10 The law of England and Wales applies, and the courts of England and Wales decide disputes. If you’re a consumer living in Scotland or Northern Ireland, you can also bring a claim in your local courts.
Schedule 1: Your customers’ data (data processing)
Where we store personal data for you (contact form messages), you are the controller and we are your processor under UK GDPR. This schedule covers what Article 28 requires (ICO checklist).
| What and why | Running your website’s contact form. |
| How long | While the website / plan runs. |
| Types of data | Name, phone, email and message. |
| Whose data | Your customers and enquirers; people in the photos you give us. |
We will:
- use the data only on your written instructions (running your site as agreed in these terms counts as your instructions), unless UK law requires otherwise;
- keep it confidential, and make sure anyone working on it is bound to confidentiality;
- keep it secure (encrypted connections, access limited to the people who need it);
- use only these sub-processors: Cloudflare (hosting and storage), Cloudflare Email Sending (the emails your site sends), and, during the build only, the AI tools in 2.7 for the content and photos you give us (which may show you or your staff). We’ll tell you before adding or changing one, so you can object;
- outside the UK: some of these providers may handle data outside the UK (for example in the USA). We only use providers covered by UK adequacy regulations (such as the UK-US Data Bridge) or by UK-approved contract clauses (the IDTA or the UK Addendum);
- help you answer customers who ask for a copy or deletion of their data, and help with security, breach reports and data protection checks;
- tell you without undue delay if we find a personal data breach affecting your data;
- at the end of the service, give you the data (or delete it), as you choose, within 30 days, unless the law requires us to keep it;
- give you the information you need to show we meet these duties, and allow reasonable checks (audits), with reasonable notice.
The limits in section 9 apply to this schedule too, as far as the law allows.
Schedule 2: Cancellation form (consumers only)
Fill in and send this only if you’re a consumer and want to cancel (see 10).
